  <h2 id="parties">1. Who these terms are with</h2>
  <p>The Service is provided by MangyByte Ltd, registered in England and Wales, registered office in London (&ldquo;we&rdquo;, &ldquo;us&rdquo;). By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.</p>

  <h2 id="eligibility">2. Eligibility and accounts</h2>
  <p>You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at <a href="mailto:support@stocktriage.com">support@stocktriage.com</a> if you suspect unauthorised use.</p>

  <h2 id="service">3. The Service</h2>
  <p>StockTriage provides statistical rankings, scores, confidence measures, factor data, calendar and catalyst information and related analytics, on a free tier and a paid &ldquo;Pro&rdquo; tier. All outputs are general information calculated identically for all users and are <strong>not</strong> investment advice, a personal recommendation, or an offer or inducement to deal in any instrument. We may change, add or remove features over time.</p>

  <h2 id="sub">4. Subscriptions and payment</h2>
  <p>Pro is offered at &pound;11.99 per month or &pound;99 per year, with a promotional first-year price of &pound;79 for new annual subscribers, renewing at &pound;99 per year thereafter. Prices include VAT where applicable. Payments are taken by our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period using your saved payment method until cancelled. We will notify you by email before an annual renewal. If a payment fails we may retry and may suspend Pro features until payment succeeds. We may change prices on renewal with prior notice; changes never affect a period you have already paid for.</p>

  <h2 id="cooling">5. Cancellation and cooling-off</h2>
  <p>You may cancel your subscription at any time from your account. On cancellation you keep Pro access until the end of the period already paid for, and you are not charged again. We do not provide pro-rata refunds for the unused part of a period except where required by law.</p>
  <p><strong>14-day cooling-off (consumers).</strong> If you are a consumer in the UK, you have the right to cancel within 14 days of starting your subscription and receive a refund, under the Consumer Contracts Regulations 2013. <strong>Immediate access waiver:</strong> because the Service is digital content and an online service supplied immediately, by subscribing and asking us to provide access straight away you expressly request that we begin during the cooling-off period and acknowledge that: (a) for digital content, you lose the right to cancel once supply has begun with your consent; and (b) for the service element, if you cancel within the 14 days we may charge for the part of the service already provided up to the point you told us, calculated in proportion to the full price. You are not waiving any other statutory rights.</p>

  <h2 id="aup">6. Acceptable use</h2>
  <p>You agree not to: scrape, crawl, bulk-download or systematically extract data from the Service except as we expressly permit; resell, redistribute or republish our scores or data; share your account; reverse-engineer the Service; circumvent rate limits, paywalls or security; upload unlawful content; or use the Service in any way that breaches applicable law or these terms. We operate rate limits and other protections and may restrict access that we reasonably believe is abusive.</p>

  <h2 id="brokers">7. Broker connections</h2>
  <p>Any broker connection you make is strictly read-only; we never place orders or move money. You are responsible for complying with your broker&rsquo;s terms when generating and sharing a read-only key. We are not responsible for the acts, omissions, availability or accuracy of any third-party broker or data aggregator.</p>

  <h2 id="ip">8. Intellectual property</h2>
  <p>The Service, including its scores, models, design, text and software, is owned by us or our licensors and protected by intellectual-property law. We grant you a limited, personal, non-transferable, revocable licence to use the Service for your own informational and educational purposes in line with these terms. All other rights are reserved.</p>

  <h2 id="warranty">9. No warranties</h2>
  <p>The Service is provided &ldquo;as is&rdquo; and &ldquo;as available&rdquo;. To the extent permitted by law we make no warranties about the accuracy, completeness, timeliness or fitness for any purpose of the Service or its outputs, and any backtested, simulated or calibration figure is hypothetical and not a reliable indicator of future results. Nothing in these terms affects your non-excludable statutory rights as a consumer.</p>

  <h2 id="liability">10. Liability</h2>
  <p>Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, and to the fullest extent permitted by law: we are not liable for any investment decision you make or for any trading loss; we are not liable for indirect or consequential loss, loss of profit, or loss of data; and our total liability to you in any 12-month period arising from the Service is limited to the amount you paid us for the Service in that period (or &pound;50 if you use only the free tier).</p>

  <h2 id="termination">11. Suspension and termination</h2>
  <p>We may suspend or terminate your access if you breach these terms or to protect the Service or other users. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination (including liability, intellectual property and governing law) will continue to apply.</p>

  <h2 id="changes">12. Changes to these terms</h2>
  <p>We may update these terms from time to time. If a change is material we will give you reasonable notice, for example by email or an in-product notice. Continuing to use the Service after a change takes effect means you accept the updated terms.</p>

  <h2 id="law">13. Governing law and jurisdiction</h2>
  <p>These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, save that if you are a consumer resident elsewhere in the UK you may also bring proceedings in your local courts.</p>
